Our services can help with billing and coding processes, but aren't a substitute for the work of healthcare providers.
The Client is responsible for:

ZechionMed does not offer medical diagnosis, medical treatment, or medical advice.

- Try to access systems or information without permission

- Introduce malicious software/harmful code
- Copy or reproduce any proprietary website information without permission
- Impersonates the identity or organization
- Enter details on web forms that you aren't allowed to fill out

4Coding Services
When medical coding services are provided, ZechionMed can collaborate with applicable medical coding systems and payer requirements such as ICD-10-CM, CPT, HCPCS, modifiers, E/M coding guidelines, NCCI requirements, applicable Medicare, Medicaid and commercial payer policies.
Coding is done according to documentation and information, available to ZechionMed.
The Client is responsible to ensure accurate documentation of the services provided in medical records.
ZechionMed cannot guarantee the acceptance of any specific code, modifier, diagnosis, claim or reimbursement amount by a payer.
5Claims and Billing
If claims management services or billing are provided, ZechionMed may prepare, review and submit claims, follow up on claims and track the process and claims on the Client's behalf.
There are factors outside of ZechionMed's control that may impact on claim outcomes, for example:

6Denial Management
If Denial Management is incorporated into the agreed Services, ZechionMed may follow up with the Payer to follow-up denied claims, prepare supporting information and submit appeals on behalf of the client.
None of the appeals or claims recoveries is guaranteed.
Documentation, payer policy, medical necessity, authorization, contractual requirements, deadlines and other factors not under ZechionMed's control can affect the outcome of an appeal.
7Insurance Eligibility Verification
If eligibility verification is required, ZechionMed may use available systems of payers or other authorized sources to verify insurance information.
Eligibility does not guarantee coverage or payment.
Insurance benefits are subject to change upon verification and/or before or after the date of service.
Final payment and patient responsibility is dependent on the applicable payer after claim adjudication.
8Client Responsibilities
Clients that utilize the services of ZechionMed are required to provide ZechionMed with accurate, complete, current and lawfully obtained information necessary to provide the Services.
The Client is responsible for:
Collaborating with the billing/coding/audit/compliance workflows.
ZechionMed is not liable for any errors, delays, denials or financial losses resulting from inaccurate, incomplete, outdated, or delayed information provided by the Client.
HIPAA and PHI.
ZechionMed understands the significance of safeguarding Protected Health Information (“PHI”) and other confidential information related to health care.
If the services provided by ZechionMed involve Business Associate functions under applicable HIPAA requirements, a proper Business Associate Agreement (BAA) will be entered into between the parties as required by HIPAA.
The parties' obligations with regard to PHI are governed by the applicable BAA.
These Terms do not constitute or replace a BAA that has been executed separately.
Clients are not to provide PHI via website forms that are publicly available, general email or any other means that has not been specifically authorized by ZechionMed for the secure transmission of PHI.
Please read our Privacy Policy, Data Security Policy and Business Associate Agreement (if applicable) for further information.

- Ensuring that the required information from payers is obtained and included
- Complying with inquiries for information within reasonable time
- Reading when asked to
- Preparing and keeping current the necessary licenses and registrations
- Proper relationship with payers
- Information on material changes to be notified to ZechionMed regarding billing/coding
10Data Security
ZechionMed implements reasonable administrative, technical and organizational safeguards that are commensurate with the Services offered.
Security measures include access controls, authentication, limited system access, secure transmission, monitoring, workforce controls and incident response procedures.
However, there is no electronic system, network, website or way of transmitting data that can be guaranteed to be 100% secure.
The client is responsible for keeping their system's credentials confidential and for letting ZechionMed know of any suspicion of unauthorized access to their system.
11Confidentiality
Confidential business, operational, financial, technical and healthcare information may be shared between ZechionMed and its Clients for the purposes of the Services.
Both parties will employ confidential information solely for business purposes, and they agree to take reasonable steps to prevent disclosure of the information to third parties.
Other confidentiality requirements may be included in a Master Services Agreement, SOW, BAA or other written agreement.
12Service Fees
The applicable proposal, pricing agreement, service agreement, SOW or order form shall determine the fees for ZechionMed services.
The pricing will depend on the services selected between:
The applicable written agreement will determine the Client's actual fees and payment obligations.
- Monthly service fees
- Per-provider pricing
- Per-claim pricing
- Project-based pricing
- Transaction-based pricing
- Compensatory fees based on percent (if applicable and legally and contractually allowed); and
- Customized enterprise pricing.
13Payment Terms
The client is responsible for paying the invoice as per the applicable service agreement.
If required payments are not made, it may lead to the suspension or termination of Services, as per the agreement / law.
ZechionMed may need to settle unpaid balances to be able to resume the suspended Services.
14Refunds and Cancellations
Refund/Cancellation Policy applies to refunds and cancellation, as well as the Client's service agreement.
Completed professional Services are typically not refundable unless written agreement is obtained.
The cancellation of Services shall not relieve of any fees or other obligations incurred prior to the date of effective cancellation.
15Service Levels
ZechionMed will offer service levels, response times, processing targets, reporting schedules or performance commitments in accordance with the applicable separate Service Level Agreement (SLA).
Descriptions of websites and estimates of general processing are non-binding and do not indicate a guaranteed service level unless explicitly stated in a written contract.
16Third-Party Systems
The services provided by ZechionMed might rely on third party systems and platforms, such as:
ZechionMed offers no control over third party platforms, and can make no guarantees regarding the availability, functionality, security, processing time or continued operation of these platforms.
Outages or system changes by third parties may impact service delivery.

17AI-Assisted Technology and Automation
ZechionMed may rely on technology, automation, analytics or AI assisted tools to assist with administrative, coding, billing, reporting, quality-control or revenue cycle workflows.
If this technology is employed, outputs may need to be read by and validated by humans.
The automated output/AI output may not be error-free.
ZechionMed is not a substitute for clinical judgment, nor for medical treatment decisions.
If applicable, Client review and approval requirements will be determined in a specific service agreement or operating procedures.
No guarantee of revenue/reimbursement.
ZechionMed can contribute to enhancing billing procedures, claim management, coding workflows, collections, denial management and revenue cycle within the scope of its duties as Client’s Resource.
ZechtionMed makes no warranty, however:
The results are dependent upon the operations, documentation, payer relationships, patient population, services, contracts and other factors of the Client.
- An additional revenue source
- An individual sample
- An elite faculty; and
- An amount of reimbursement
- Claim approval
- Payer payment
- Patient payment
- A particular return on investment.
19Compliance
ZechionMed will conduct its contracted Services in accordance with applicable requirements relevant to ZechionMed's responsibilities.
Compliance requirements for clinical activities, medical records, medical necessity, provider licensure, provider-payer relationships and other provider-specific requirements continue to be the responsibility of healthcare providers.
ZechionMed does not offer legal counsel, nor does it warrant compliance with any applicable federal, state, payer or regulatory requirement through using the Services alone.
20Intellectual Property
Unless otherwise agreed in writing, ZechionMed retains ownership of its proprietary:

24Indemnification

25Suspension or Termination of Services
ZechionMed may suspend or terminate Services as per the provision of the service agreement.
It can be suspended or terminated for any of the following reasons:
Operational or legal conditions that pose heightened risk.
Where reasonably practicable, ZechionMed will give notice prior to suspension and termination.
- Nonpayment
- Material failure to meet specifications or quality standards

26Force Majeure
ZechionMed shall have no liability for any delay or failure for any reason other than its own control.

28Governing Law

No law in a Client's location or circumstances will be excluded which must run in accordance with that location or circumstance.
29Dispute Resolution
The parties will first try to settle disputes in good faith through communication.
If it is not possible to resolve the dispute informally, the dispute-resolution provisions set out in the appropriate service contract will be utilized.
Nothing contained in these Terms shall limit either party's ability to obtain any emergency or equitable relief which is legally available.
30Severability
Should any term of these Terms be found invalid, unenforceable or unlawful, all other terms will remain in force to the fullest extent legally possible.
31No Waiver
The failure to apply any of these Terms does not waive the right to apply in the future such a provision.
32Entire Agreement
These Terms apply to the use of the Website and the general relationship between ZechionMed and Users of the Website.

HIPAA and Protected Health Information
ZechionMed recognizes the importance of protecting Protected Health Information (“PHI”) and other sensitive healthcare information.
Where ZechionMed performs services that constitute Business Associate functions under applicable HIPAA requirements, the parties will enter into an appropriate Business Associate Agreement (BAA) where required.
The applicable BAA governs the parties' respective obligations concerning PHI.
Nothing in these Terms is intended to replace or supersede a separately executed BAA.
Clients should not submit PHI through publicly accessible website forms, general email, or other channels unless ZechionMed has specifically designated that channel for secure transmission.

No Guarantee of Revenue or Reimbursement
ZechionMed may help Clients improve billing processes, claim management, coding workflows, collections, denial management, and revenue cycle operations.
However, ZechionMed does not guarantee:
A particular return on investment.
Results depend on the Client's operations, documentation, payer relationships, patient population, services, contracts, and other factors.
